TERMS AND CONDITIONS OF THE ONLINE STORE
§ 1. DEFINITIONS
- Terms and Conditions – this document setting out the rules governing the conclusion of distance selling contracts, the performance of such contracts, and the complaints procedure.
- Seller – MEDBIT.PL Sp. z o.o., registered office: Dolina Zielona 19B, 65-154 Zielona Góra, VAT No.: PL9730839010, REGON: 0008004049, tel. 68 416 16 11, email: hurtownia@medbit.com.pl.
- Online Shop – the website is available at https://medbit.com.pl.
- Customer – a natural person, a legal person or an organisational unit without legal personality, entering into a Contract with the Seller.
- Consumer – a natural person making a purchase not directly related to their business or professional activities (in accordance with Article 22¹ of the Civil Code).
- Entrepreneur acting as a consumer (sole trader) – a natural person running a sole proprietorship who enters into a contract directly related to their business, where the terms of that contract indicate that it is not of a professional nature for that person (PKD codes).
- Business entity – an entity engaged in commercial or professional activities that makes business-to-business (B2B) purchases.
- Specialist Products – spare parts, components and consumables intended exclusively for the repair of professional medical and sterilisation equipment (e.g. autoclaves) that are not intended for domestic use.
- VOID security seal – a specialised sticker or tape used to secure the individual packaging of goods (such as a bag or box), which leaves a permanent mark (‘VOID’) if tampered with, indicating that the sealed packaging has been opened.
- Professional User – an entity that uses medical devices in the course of its professional activities and is required to record repairs in the technical passport pursuant to Article 63 of the Medical Devices Act.
§ 2. GENERAL PROVISIONS
- The shop sells specialist equipment and spare parts for medical and beauty devices.
- The content on the Shop constitutes an invitation to enter into a contract (Section 71 of the Civil Code).
- Minimum technical requirements: a modern web browser, access to email, and a PDF reader.
§ 3. PLACING AND FULFILLMENT OF ORDERS
- Orders can be placed 24/7. The contract is concluded upon the Customer receiving an email confirming that the order has been accepted for processing.
- Verification of commercial purchase: Given the specialist nature of the Goods, the Seller reserves the right to treat the purchase of spare parts for sterilisation machines by a natural person or a sole trader operating in the medical or beauty sector as a commercial purchase (Section 7aa(2) of the Consumer Rights Act).
§ 4. PAYMENT AND DELIVERY
- The shop offers the following payment methods: prepayment (IdoPay), cash on delivery or (by arrangement) deferred payment.
- Delivery costs are shown in the order summary. Due to the nature and weight of certain items, return costs may be higher than standard postage charges.
§ 5. RIGHT TO WITHDRAW FROM THE CONTRACT (RETURN OF GOODS)
- Consumers and traders acting as consumers have the right to withdraw from the contract within 14 days without giving any reason, subject to points 4 and 5 below.
- The withdrawal period begins when the buyer takes possession of the goods.
- A notice of withdrawal may be submitted via the online return form or in writing to the Seller’s registered office.
- Loss of the right of withdrawal (hygiene and technical exclusions): Pursuant to Article 38(5) of the Consumer Rights Act, the right of withdrawal does not apply to Goods delivered in sealed packaging which, once opened, cannot be returned for health or hygiene reasons.
- Use of VOID seals: Specialist goods are delivered in packaging sealed with a VOID seal.
- Consequences: Tampering with or breaking the VOID seal on the individual packaging is equivalent to opening the sealed package. In such cases, the right to withdraw from the contract lapses, as the Goods lose their guarantee of sterility/technical cleanliness and cannot be safely reintroduced into the medical supply chain.
- Professional use: The right of return does not apply if the purchase is for professional use. The repair of an autoclave, as an essential tool for a doctor or beautician, constitutes a professional activity (Section 38a of the Consumer Rights Act).
- In the event of an admissible return (e.g. where the seal remains intact), the purchaser shall be liable for any reduction in the value of the Goods resulting from their use beyond what is necessary to ascertain their nature.
§ 6. COMPLAINTS AND WARRANTY
- The seller is obliged to supply goods free from defects. Complaints are dealt with within 14 days.
- B2B liability: In relation to businesses (commercial purchases), liability under the warranty is limited to defects in the Goods existing at the time of sale.
- We accept no liability for damage resulting from the installation of parts by persons without the necessary service qualifications or from the absence of repair records in the device’s technical passport (Section 63 of the Medical Devices Act).
§ 7. FINAL PROVISIONS
- These Terms and Conditions come into effect on 16 April 2025.
- The applicable law is Polish law. Any disputes shall be settled by the competent ordinary courts.
- The Seller reserves the right to amend these Terms and Conditions.
APPENDIX 1 – NOTICE REGARDING THE RIGHT TO WITHDRAW FROM THE CONTRACT
Right to cancel the contract You have the right to cancel this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day on which you took possession of the goods or on which a third party other than the carrier and indicated by you took possession of the goods.
To exercise your right to withdraw from this contract, you must inform us (MEDBIT.PL Sp. z o.o., Dolina Zielona 19B, 65-154 Zielona Góra, email: hurtownia@medbit.com.pl ) of your decision to withdraw from this contract by means of an unequivocal statement (e.g. a letter sent by post or email). You may use the model withdrawal form, but this is not mandatory.
Consequences of withdrawing from the contract If you withdraw from this contract, we will refund all payments received from you, including the costs of delivery (except for any additional costs resulting from your choice of a delivery method other than the cheapest standard delivery method offered by us), without delay, and in any event no later than 14 days from the day on which we were informed of your decision to exercise your right of withdrawal. We will refund the payment using the same means of payment as you used for the original transaction, unless you have expressly agreed otherwise.
You will be required to bear the direct costs of returning the goods. You are liable only for any reduction in the value of the goods resulting from handling them in a manner other than that necessary to establish their nature, characteristics and functioning.
Exclusions: The right of withdrawal does not apply in the cases specified in Article 38 of the Consumer Rights Act, in particular where the purchase is made for business purposes by a trader or where the item is in sealed packaging which, once opened, cannot be returned for hygiene reasons (parts for sterilisation equipment). Breaking the VOID seal on the individual packaging of Specialised Goods constitutes opening the sealed packaging and results in the loss of the right to withdraw from the contract.
